Solving the 'financial piece of this company' to be 'interesting'

Earlier this month we noted how Fairpoint Communications would miss most of their New England broadband expansion goals as the carrier continues to deal with fleeing customers and a high debt load. Over the weekend Fairpoint CEO David Hauser talked with the New Hampshire Union Leader. Hauser puts on a relaxed face when asked about the company's NYSE delisting, whether Fairpoint overpaid for the New England networks, and how a very possible bankruptcy could impact the company:
"There's a whole series of events that caused the last six months to be very difficult for FairPoint. The vast majority of those events, we're past (them) at this point," he said. "Now our next one is we have to solve the financial piece of this company, and that's going to be very interesting, but I'm highly confident of where we'll end up with that," Hauser said. "We will restructure the debt in one of two ways ... either in (bankruptcy) court or out of court. If you're looking into the future, it doesn't matter which way you got there. You'll come pretty close to the same place either way."
One thing that's in Hauser's favor? The same weak-kneed regulators who approved the deal in the first place amid warnings from analysts, unions and consumer advocates continue to allow the company to move forward without a transparent, publicly verifiable improvement plan.

     Not me. I saw it over a mile away. When I first heard about Fairpoint, I figured that it was pretty much going to be nothing but a whole lot of epic fail.

Nope. Apple is gobbling up the biggest piece of that pie.
T's wireless broadband is in a sad state of affairs in general throughout it's network.
Could they be waiting for the big broadband initiative handout?

Verizon will buy back.

Verizon will buy the plant back but now they will not have the debt. How sweet is that.

YEAH ! Now get this theory, after Verizon gets it debt free, they will sell back to Fairpoint, but debt free and Verizon will make a profit doing it.

How you like that theory? Hmmmm?

Unions werre right ...again

Once again the unions who fought hard against this sale, who staged rallies in front of corporate headquarters, who warned everyone this was a horrible deal.. were right again..

Of course the union bashers on here came up with all sorts of excuses before the deal was pushed thru..

Look what happened to Hawaii, look at Idearc, now look at Fairpoint.. All 3 companies down the toilet

Beware next time Verizon wants to sell some more of there access lines..

Verizon won't buy back

Remember this was a Stock Deal too verizon still owns about 30% of fairpoint. Not sure how that works with the Debt but it doesn't make any sense to buy back what you already own. The only way verizon gets ahead is if some other carrier buys it. Or Fairpoint succeeds and Verizon can offload the stock they own in fairpoint.

Verizon the corporation owns no stock in FairPoint- all of that stock was divested immediately to shareholders of VZ as part of the deal.

So any of those shareholders who haven't already sold the shares they've received would be wiped out in a bankruptcy, but it would not have an adverse effect on Verizon Communications, Inc. the company.

Essentially, how I understand it is, Verizon "split" into two companies, Verizon and Northern New England Spinco. VZ stockholders then had shares of both Verizon and Spinco. Then, Spinco immediately merged with FairPoint, so the shares of Spinco became shares of FairPoint.

The project was morally bankrupt from its inception

By the time of the Verizon Fairpoint deal, the telephone plant in the three states was for the most part paid for by decades of subscriber fees. Just as the New England baby Bells were able to merge without paying billions to the subscribers, so the ME, NH, and VT systems should have been divested without incurring high debt that the subscribers are being asked to pay off again.

Beyond the regulators optimistically glossing over whether Fairpoint could run the tri-state system, the regulators should have never agreed to the creation of this fictitious debt claimed by Verizon.
