Starting an LLC

Anyone have any experience with any companies on the net providing documentation for an LLC application? e.g. »www.LegalZoom.com

When I started consulting biz checked out these guys but ended up as a sole proprietor. LLC is very attractive especially if you are concerned about E&O liability.

Mainly laziness. At the time was doing product conceptualization work so E&O was not a big risk. Did not have inventory or debts so bankruptcy was not an issue. No employees.

I was operating out of my home so had rider for casual business use added. That way if a salesman/customer broke their leg I was protected.

If it stayed viable I would have eventually done the paperwork to LLC.

I chose an S-corp over an LLC, since my company's clients were Fortune 500 and many would not deal directly with an LLC. There wasn't any significant cost difference in forming the S-corp over a C-corp or LLC. There were tax benefits to the S-corp over the C-corp.

At one point I used »www.bizfilings.com/ as a registered agent, when I had relocated out of state and did not want to move my corporate registration. I found their billing practices to be abusive after canceling their service. I notified them in writing that I was canceling their services and they turned the account over to a collection agency because I didn't pay the renewal.

I would check how difficult it is to register with your state before paying someone else to do it. In Indiana it is a single piece of paper and a $90 fee, and yet there are companies that charge hundreds of dollars in addition to the state fee to fill out this single piece of paper and mail it in for you. If the process in your state is overly complicated then I can see how it would be worthwhile to hire someone else to do it, but I would definitely check into how easy it is to do yourself first.

Thanks for the replies. The LLC seems to be the easiest to acquire and administer for a sole proprietor.

That's a good point about doing it yourself.I will check the PA site first. I guess I've been trained to assume government=complicated

That's interesting about the F500 companies. I don't expect I'll be dealing with any of them. The nice part about being retired and consulting is you can say no to perspective clients.

The PA application is fairly simple and $125 but....

There is another section where there is an annual fee of $420 for an LLC providing "professional services" while not specifically stating what that is. However, in the form for paying the $420 it says "was licensed to practice that service" Since, I'm only licensed to drive a car I don't think the $420 applies to me.

In this case the OP was referring to the Pennsylvania Secretary of State's web site, because he lives in PA. The reference to PA didn't have anything to do with Professional Association.

Forgot to add, in Florida you do not need to disclose who are the officers in the company, thus the only thing *required* on the Florida registration is a registered agent.

The only benefit of using those corporation companies is if you are in a state such as Florida.... they become your registered agent and you have essentially an "anonymous" company.

You still technically need officers, but they just do not need to be disclosed publicly.
