That was not a merger, but an outright purchase. AT&T sold their media operation to Comcast.

They had to spend very little money on the AT&T network because it was AT&T/TCI cable who developed the on demand system Comcast is rolling out. I used it back when I was in College in East Lansing where TCI installed one of the first Fiber cable systems in the country as a test bed for a host of network services. SBC seems to forget that they will be competing with both the Cable Provider AND the Dish Providers.
